Terms of Service

1. About these Terms

1.1. These Terms of Service ("Terms") are an agreement between you and Namiştain Global Dış Ticaret Limited Şirketi, Çalı Mah. Ahıska Cad. Enmes Group No:209, Nilüfer / Bursa, Türkiye ("NamLab", "we", "us"), the provider of NamSeo.

1.2. These Terms apply when you install NamSeo from the Shopify App Store and when you use NamSeo from outside Türkiye. If you buy a plan directly on our website in Turkish lira, our Turkish terms and sales documents at /yasal/ apply instead.

1.3. By installing the app or creating an account, you accept these Terms. If you accept on behalf of a business, you confirm that you are authorized to bind it. Our Privacy Policy and, on request, our Data Processing Agreement also apply.

1.4. Shopify is not a party to these Terms and is not responsible for NamSeo. Your use of Shopify is governed by Shopify's own terms.

2. The Service

2.1. NamSeo is an AI-assisted SEO tool. It reads your store's products, collections, pages and blog posts (or crawls the public pages of your website), detects technical and content issues, and prepares suggestions such as page titles, meta descriptions, image alt text, structured data, product texts and blog or page drafts. It applies the changes you approve and keeps a log so you can undo them. It also tracks Google rankings for keywords you choose, provides a visibility score, competitor analysis, a Google Business Profile check and link opportunities, reports Google Search Console data if you connect it, and sends a weekly summary email that you can turn off in Settings.

2.2. On Shopify, NamSeo uses only the permissions you approve at installation: read and write products, content (blogs and articles) and online store pages. It does not access your orders or your customers. Some change types cannot be written to Shopify automatically; NamSeo shows them so you can apply them yourself. On other websites, changes are applied through the NamSeo Connector WordPress plugin, the NamSeo code snippet or by copying them manually.

3. You approve every change

3.1. NamSeo does not write anything to your store or website without your approval. You review, edit if needed and approve each suggestion before it is applied.

3.2. Automatic mode (optional). On the Growth and Pro plans you can turn on automatic mode for a site. It is off by default. While it is on, NamSeo may apply eligible changes without asking you each time; this setting is your instruction to do so. Every automatic change is logged and can be undone, and you can turn automatic mode off at any time.

3.3. Undo restores the previous value that NamSeo recorded. If the same field was changed outside NamSeo in the meantime, undo may overwrite that later change, so check the page first. Keep your own backups of your store or website.

4. Your account

4.1. You must be at least 18 years old and able to enter into a binding contract.

4.2. Keep your account information accurate and your login details, sessions and plugin keys confidential. Tell us at namlab@namistainglobal.com if you suspect unauthorized use.

4.3. You may add only stores and websites that you own or are authorized to manage. If you work for clients, you are responsible for obtaining their authorization and informing them about the Service.

5. Plans, trial and billing

5.1. Trial and Free plan. A new store or account gets a 14-day free trial (one trial per store or email address). After the trial, the account stays on the Free plan unless you choose a paid plan. No payment details are needed for the trial or the Free plan.

5.2. Plans and prices (USD). Yearly billing gives 12 months for the price of 10.

The current limits are always shown on the pricing screen in the app. When you reach a limit, only that action pauses until the next month; there are no overage charges and no automatic upgrades.

5.3. Billing through Shopify. Paid plans are billed by Shopify in USD and appear on your Shopify invoice. You approve each subscription in your Shopify admin, where the first charge date is shown. Subscriptions renew automatically every 30 days or every year until you cancel. Shopify may add applicable taxes. We never receive your card details.

5.4. Plan changes. You can upgrade or downgrade in the app. Shopify applies any credit or proration under its billing rules.

5.5. Cancellation. You can cancel at any time by switching to the Free plan in the app or by uninstalling the app. Uninstalling cancels your subscription automatically. No further charges are made after cancellation.

5.6. Refunds. Charges, refunds and cancellations are processed through Shopify billing. Fees already charged are not refundable and partial billing periods are not refunded, except where required by law or where we decide otherwise. If you think you were charged in error, contact us within 30 days of the charge; any approved refund is issued through Shopify.

5.7. Price changes. We will tell you about price changes at least 15 days in advance. They apply from your next billing cycle, and Shopify may ask you to approve the new charge.

6. No ranking guarantee

NamSeo provides tools to find issues, prepare and apply improvements and measure results. We do not guarantee any ranking, traffic, clicks, sales or other result. Search engines decide rankings, and results depend on factors outside our control. Scores and "estimated impact" indicators are guidance, not promises. Ranking, Search Console and Business Profile data come from third parties and may vary or be delayed.

7. AI output

7.1. Suggestions are generated by AI models and automated rules. They may be inaccurate, incomplete, out of date or unsuitable; for example, they may mention a service you do not offer or an unverified claim.

7.2. You must review every suggestion before approving it and make sure it is accurate, lawful and original. Content published on your store or website is your content and your responsibility, including compliance with advertising, consumer protection and intellectual property rules.

7.3. Do not use NamSeo to mass-produce low-value content to manipulate search rankings. To support compliance with search engine spam policies, monthly content drafts are limited by plan and each draft needs your separate approval.

8. Acceptable use

You must not:

• add, crawl or change stores or websites you are not authorized to manage, or use NamSeo to harm competitors;
• create misleading, fraudulent, defamatory or infringing content, or use doorway pages, hidden text, keyword stuffing, cloaking or link schemes;
• enter other people's personal data without a legal basis, or enter sensitive personal data, card data or passwords;
• copy, reverse engineer or overload the Service, try to bypass usage limits or test its security without permission, except where the law allows;
• upload malware, share your account with other businesses, or resell or rent the Service;
• use the Service for any unlawful purpose.

9. Intellectual property and your content

9.1. The Service, the app, plugin, snippet, software, design, databases and the NamLab and NamSeo names and logos belong to NamLab or its licensors. We grant you a non-exclusive, non-transferable right to use the Service during your plan, within its limits. Open-source components are subject to their own licenses; the NamSeo Connector plugin is distributed under GPLv2 or later.

9.2. Your content, including your store and site content, keywords, instructions and Search Console data, remains yours. You grant us a limited, royalty-free license to process it only as needed to provide the Service (crawling, storing, backing up, sending to AI providers, displaying and applying it to your store or website) for as long as we keep it under the Privacy Policy.

9.3. We do not sell your content, use it for advertising or use it to train AI models. We may use aggregated, anonymized statistics that do not identify you or anyone else to improve the Service.

9.4. We claim no rights in the suggestions and drafts generated for you, and you may use them freely. We do not guarantee that AI-generated text is protected by copyright, is unique or will not be similar to output generated for others.

9.5. We may use feedback you give us without obligation to you.

10. Availability and support

10.1. We make commercially reasonable efforts to keep the Service available, but we do not guarantee uninterrupted operation. The Service depends on third parties such as Shopify, Google, Cloudflare and AI providers. We announce planned maintenance in the app when possible.

10.2. There is no service level commitment for the Free plan or the trial. On paid plans, if the core functions (scanning, viewing and approving suggestions, applying and undoing changes) are unavailable for more than 72 hours in total in a calendar month for reasons attributable to us, you may request a refund of that month's fee (or one twelfth of the yearly fee) or a free 30-day extension.

10.3. Support is provided by email at namlab@namistainglobal.com.

10.4. We may improve and change features. We will not remove a core feature of a paid plan during a paid period; if this becomes impossible (for example because a third-party data source closes), we will tell you and you may cancel and receive a refund of the unused prepaid portion.

11. Suspension and termination

11.1. You may stop using the Service at any time by uninstalling the app or deleting your account in Settings › Delete account. You can download your data first with Settings › Download my data.

11.2. We may suspend your account, with notice and reasons where possible, if you breach these Terms, if there is a security threat or a reasonable suspicion that your account or keys are compromised, if the law or an authority requires it, or if a site owner credibly reports that you are not authorized to manage the site. You may object at namlab@namistainglobal.com, and we will lift the suspension once the cause is resolved.

11.3. We may terminate these Terms if you materially breach them and do not cure the breach within 7 days of our notice, or immediately in case of unlawful use or a serious security threat.

11.4. If we decide to discontinue the Service, we will give at least 60 days' notice, let you export your data and undo changes, and refund the unused prepaid portion of your fees.

11.5. After termination, your data is handled as described in the Privacy Policy. Changes written to your Shopify store or through the WordPress plugin stay on your store or site; changes delivered by the code snippet stop being served.

12. Disclaimer

To the extent permitted by law, the Service is provided "as is" and "as available", and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. This does not affect any rights you have under mandatory consumer law.

13. Limitation of liability

13.1. To the extent permitted by law, neither party is liable for indirect or consequential losses, or for loss of profits, revenue, rankings, traffic or data that you could have prevented by keeping backups.

13.2. To the extent permitted by law, our total liability arising out of or relating to these Terms is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim.

13.3. These limitations do not apply to liability for intent or gross negligence, fraud, death or personal injury, or any liability that cannot be limited under applicable law.

13.4. Consumers. If you use the Service as a consumer, nothing in these Terms limits your rights under mandatory consumer protection law. If you live in the EU or UK, we are responsible for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care.

14. Indemnity (business customers)

If you use the Service for business purposes, you will indemnify and hold NamLab harmless from third-party claims, and related reasonable costs, to the extent they arise from content you publish, from stores or websites you are not authorized to manage, from your breach of section 8, or from your violation of law, including your obligations as controller for the personal data on your store or website. We will notify you promptly of any such claim and let you take part in its defense.

15. Governing law and disputes

15.1. These Terms are governed by the laws of the Republic of Türkiye. For business customers, the courts and enforcement offices of Bursa, Türkiye have exclusive jurisdiction.

15.2. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence and may bring a claim in the courts of your country where that law allows.

15.3. Please contact us first at namlab@namistainglobal.com; most issues can be resolved quickly. This is not mandatory for consumers.

16. Changes to these Terms

We may update these Terms. We will notify you of material changes by email and in the app at least 15 days before they take effect. If you do not agree, you may cancel before the changes take effect; continuing to use the Service after that date means you accept the updated Terms. Changes required by law or that only benefit you may take effect immediately. Changes do not alter prices or limits already paid for during a current billing period.

17. General

17.1. You may not transfer these Terms without our written consent. We will notify you in advance if we transfer them to another company; you may then cancel.

17.2. Neither party is responsible for delays caused by events beyond its reasonable control (force majeure), such as natural disasters, war or the general failure of internet or energy infrastructure. If such an event lasts more than 30 days, either party may terminate.

17.3. If any provision is found invalid, the rest of these Terms remains in force. Failure to enforce a provision is not a waiver.

17.4. We send notices to the email address registered in your account and in the app. You can send notices to namlab@namistainglobal.com or to our registered electronic mail address (KEP) namistain.global@hs01.kep.tr.

17.5. These Terms are available in English and Spanish. If the versions differ, the English version prevails unless mandatory law provides otherwise.
